Cyclerion's 300% Stock Surge Follows Merger with Korsana Biosciences

Cyclerion Therapeutics has agreed to merge with Korsana Biosciences, sending its share price soaring by over 300%. The deal will see the combined company rebrand as Korsana Biosciences and trade under the new ticker 'KRSA' on the Nasdaq. Existing Cyclerion shareholders will hold just 1.5% of the new entity, while Korsana's investors take a 98.5% stake. The merger follows a strategic review by Cyclerion, which had been struggling financially. In its latest annual filing, the company reported $2.07 million in revenue but a net loss of $3.53 million. The cash burn had raised concerns about its ability to fund ongoing neuropsychiatric programs.

A private investment round (PIPE) led by Fairmount and Venrock Healthcare Capital Partners raised around $380 million. This funding is expected to support operations through 2029, giving the company a long runway for clinical development. Korsana's lead drug, KRSA-028, remains in early-stage testing, with no human efficacy data anticipated before late 2027. Jonathan Violin, currently CEO of Korsana, will lead the merged company. Tomas Kiselak from Fairmount will take on the role of chairman. The deal effectively shifts focus away from Cyclerion's previous programs toward Korsana's Alzheimer's pipeline.

The transaction provides Korsana with significant capital to advance its drug development plans. The combined company will operate under a new name and ticker symbol, with leadership drawn from Korsana's existing team. Cyclerion's legacy shareholders retain only a small fraction of the merged entity.
